1. Acceptance of Terms
By accessing or using MemoryCorp's platform and services, you agree to be bound by these Terms of Service.
2. Description of Service
MemoryCorp provides an AI-powered corporate knowledge management platform that enables organizations to capture, organize, and retrieve operational knowledge from documents, videos, and field recordings. The platform generates SOPs, checklists, and provides an AI copilot for knowledge retrieval.
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorized use. You must be at least 18 years old and have authority to enter into these terms on behalf of your organization.
4. Your Content
You retain all rights to content you upload. By uploading content, you grant MemoryCorp a limited license to process it solely to provide the services. You represent that your content does not violate any third-party rights or applicable laws.
5. Acceptable Use
You agree not to use the service to upload illegal content, violate intellectual property rights, attempt unauthorized access, interfere with service operations, or resell access without authorization.
5b. Content Protection & Intellectual Property
All content generated by the MemoryCorp platform (including but not limited to SOPs, checklists, transcripts, AI summaries, action items, and processed video analyses) constitutes proprietary platform output and is licensed exclusively for use within the MemoryCorp platform. Users agree not to: (a) download, export, or extract generated content for use outside the platform without explicit written authorization; (b) reproduce, redistribute, or create derivative works from platform-generated content; (c) use screen capture, screen recording, or any automated extraction tools to copy platform content; (d) share login credentials or provide unauthorized access to platform content. All content access is monitored and logged. MemoryCorp reserves the right to suspend or terminate accounts that violate these content protection terms. Violations may result in legal action.
6. Service Availability
We strive for 99.9% uptime but do not guarantee uninterrupted service. We may perform maintenance, updates, or experience outages. For enterprise customers, specific SLAs are defined in your service agreement.
7. Pricing and Payment
Subscription fees are billed in advance. Usage-based charges (video processing hours, storage) are billed monthly in arrears. All fees are non-refundable except as required by law or as specified in your service agreement.
8. Termination
Either party may terminate the service with 30 days written notice. We may terminate immediately for material breach. Upon termination, you may export your data within 30 days before it is deleted.
9. Limitation of Liability
MemoryCorp's liability is limited to the amount paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.
